A Sole Proprietorship with Limited Liability (EURL) is basically an SARL with just one employee. It's easy to set up and works for lots of different business types, so it's a popular legal structure for entrepreneurs : in fact, 15% of companies created in France in 2019 were EURLs!
Only one partner is required, who can be an individual or a legal entity. This status offers entrepreneurs great freedom to create, manage, and dissolve.
As it is a relatively simple status, its creation costs are limited, and depend mainly on the degree of support requested: drafting of the articles of association, intervention of a possible auditor, publication of a notice of incorporation in a legal gazette and the fees of the registry of the commercial court are all costs to be anticipated before launching your project.
Your EURL must have drafted articles of association attached to your creation file. It is possible to write them yourself, or to call on a professional. This mission requires real legal skills, and should not be taken lightly. A legal loophole can lead to the refusal to create your EURL, or ex-post disputes.
If you decide to outsource the creation of your EURL to a professional, you need to budget for these additional costs. The fees of a lawyer, notary or accountant are generally between €800 and €2,000 excluding tax, depending on the firm. Don't hesitate to ask for a quote to encourage competition.
Also, domiciliation companies offer their services to support entrepreneurs in carrying out all their administrative and legal procedures.
To carry out commercial activities, you must register your company with the Trade and Companies Register (RCS). This registration costs around €25. For craft activities, you need to register with the Trade Directory. This costs between €100 and €150.
When you're setting up your EURL, you'll need to publish a notice in an approved legal announcement journal.
This price may vary according to the length of the ad and the scope of the newspaper chosen. Once again, you can either do it yourself or entrust the job to a professional, who will charge you for it at a later date.
An important step is to contribute the capital of your EURL. There are three types of contributions:
If the total value of the contributions in kind exceeds half of the share capital, and if one contribution has a value greater than €30,000, it is mandatory to appoint an auditor. This person is responsible for assessing the value of the contributions in kind made by the sole shareholder when creating an EURL. They are generally paid between €350 and €500.
The minimum share capital required to open an EURL is set at 1€. It's not really a cost, as the share capital can be recovered when the EURL is dissolved. It must be deposited in an escrow account with your bank, which may charge a fee for this service through account maintenance fees.
The funds are released upon presentation of a Kbis extract after the file has been submitted to the commercial court registry. The registry also collects regulatory fees which are governed by law. For the creation of a single-member limited liability company (EURL), expect to pay €30.97 including VAT.
Creating an EURL requires assuming certain unavoidable costs, although a large part depends on your need for support, or the mandatory intervention of third parties to carry out many formalities. The administrative procedures to be carried out are sometimes complex, which is why it is essential to have the right support to avoid any obstacles.
