An Entreprise Unipersonnelle à Responsabilité Limitée (EURL) is a limited liability company with a single employee. Easy to access and suitable for a wide range of business sectors, it's a legal status that's very popular with entrepreneurs : 15% of businesses created in France are EURLs in 2019!
Only one partner is required, who may be an individual or a legal entity. This status offers entrepreneurs considerable freedom in terms of creation, management and dissolution.
As this is a relatively simple form of company, the costs involved in setting it up are limited, and depend above all on the level of support you require: drafting the articles of association, appointing a contribution auditor, publishing a notice of incorporation in a legal gazette and paying the fees of the commercial court clerk's office are all costs you need to anticipate before launching your project.
Your EURL must have articles of association and attached to your incorporation documents. You can draw them up yourself, or call in a professional. This task requires real legal skills, and should not be taken lightly. A legal loophole can lead to your EURL being refused incorporation, or to ex-post litigation.
If you decide to outsource the creation of your EURL to a professional, you need to plan for these additional costs. The fees charged by a lawyer, notary or chartered accountant generally range from €800 to €2,000 excluding tax , depending on the firm. Don't hesitate to ask for a quote, so that you can take advantage of the competition.
In addition domiciliation companies offer their services to help entrepreneurs with all their administrative and legal formalities.
To run a business, you need to register your company with the Registre du Commerce et des Sociétés (RCS). This registration costs around €25. For craft activities, you need to be registered with the Répertoire des Métiers. This costs between €100 and €150.
When you set up your EURL, you need to publish an announcement in an approved legal gazette.
This price may vary according to the length of the ad and the scope of the newspaper chosen. Once again, you can either do it yourself or entrust the job to a professional, who will charge you for it at a later date.
An important step is to set up your EURL'scapital contributions. There are three types of contributions:
If the value of all in-kind contributions exceeds half the share capital, and if one contribution is worth more than €30,000, it is compulsory to appoint a commissaire aux apports. This person is responsible for assessing the value of the contributions in kind made by the sole shareholder when creating an EURL. He or she is generally remunerated between €350 and €500.
The minimumshare capital required to open an EURL is €1. This is not really a cost, as the share capital can be recovered when the EURL is dissolved. It must be deposited in an escrow account with your bank, which may charge an account management fee for this service.
Funds are released on presentation of a Kbis extract, once the file has been filed with the commercial court clerk's office. The clerk's office also deducts statutory fees. For the creation of an EURL, allow €30.97 incl. VAT.
Setting up an EURL involves a number of unavoidable costs, many of which depend on your need for support, or the compulsory involvement of third parties to carry out a number of formalities. The administrative procedures involved can be complex, so it's essential to have the right support to avoid any obstacles.
