Just as a person can change address, a company can decide to change its registered office at any time in its life.

The address of the registered office is used to determine the nationality of the company, and consequently its tax regime and the competent jurisdiction to judge any disputes.

Let's take a look at how a SASU can decide to change its registered office and the formalities required to do so.

How do I decide to change my registered office to a SASU?

The French Commercial Code does not impose any specific procedure for deciding to change the registered office of a SASU. It is therefore necessary to refer to the procedure defined in the company's articles of association.

In general, they grant this power to the sole shareholder, or to the Chairman in the case of the sole shareholder.

They also specify how the decision to change the registered office is to be formalized. To do this, thesole shareholder or the company Chairman must complete the M2 form to formalize his decision.

Changing the registered office address in a SASU is the result of a unilateral decision by the company's sole shareholder.

Formalities in the event of a transfer within the jurisdiction of the same commercial court

Once the decision has been taken, changing the registered office of a SASU involves amending the company's articles of association.

A copy of the articles of association, with the updated head office clause , must be filed with your Centre de Formalités des Entreprises , along with the other information described below.

Each company has its own CFE, depending on the address of its registered office.

You also need to contact the Greffe du Tribunal de Commerce to publish a notice of change of registered office in an approved legal gazette.

In this case, the notice must contain the following information:

  • Mention of the transfer of the registered office ;
  • Your company name;
  • Its legal form (SASU) ;
  • Amount of share capital;
  • Address of new registered office;
  • The company's unique identification number ;
  • The words "RCS" followed by the name of the city where the registry office where the company is registered is located;
  • A reference to the trade and companies register where the company will be newly registered following the change of registered office.

Formalities in the event of transfer to the jurisdiction of another commercial court

If the change of registered office leads to a change in the competent commercial court, you must :

  • Formalize the decision of the sole shareholder or the Chairman of the SASU ;
  • Update bylaws.

However, the notice published in the legal gazette is not the same.

In this case, it must include :

  • Mention of the transfer of the registered office;
  • Your company name ;
  • Its legal form (SASU) ;
  • Amount of share capital ;
  • Address of new registered office ;
  • The company's unique identification number;
  • The words "RCS" followed by the name of the city where the registry office where the company is registered is located;
  • A reference to the Trade and Companies Register where the company will be registered following the change of its registered office;
  • The surname, first name and postal address of each person with general authority to bind the company to third parties (i.e. the sole shareholder, the Chairman or any other officer, whatever their status).

Whatever your situation, you must submit a complete file to your CFE, including :

  • The M2 form in triplicate;
  • Updated by-laws signed and certified ;
  • In the event of a change of jurisdiction, you must provide a certified list of the former registered offices;
  • Proof of publication of the notice of change of registered office in the legal gazette(s) according to your situation;
  • Proof of occupancy of the new premises;

To change your registered office to a SASU, you need to carefully follow a well-defined procedure

Whatever the reason, the sole shareholder or the Chairman of the SASU may decide to change the registered office as many times as he or she wishes during the life of the company.

In general, transferring a registered office entails costs that include registry fees, VAT,INPI fees and insertion in the Bodacc.
