A SASU is a société par actions simplifiée unipersonnelle, i.e. with a single shareholder.

A particularly popular status, the share of single-member SASs remains in the majority, stabilizing at 27% of companies created in 2018, a record!

The SASU can be used to carry out a wide range of commercial, craft and agricultural activities. Its operation is flexible, and depends on your preferences at the time of its creation.

As this is a relatively simple status, the costs involved in setting it up are limited, and depend above all on the level of support you require: training to prepare you for setting up your business, drafting the articles of association, the services of a contributions auditor, publication of a notice of incorporation in a legal gazette and the fees of the commercial court clerk's office are all costs you need to anticipate before launching your project.

Drafting by-laws and incorporation costs

Your SASU must have its own articles of association, drawn up and attached to your incorporation documents. You can draw them up yourself, or call in a professional.

This mission requires real legal skills, and should not be taken lightly. A legal loophole or oversight can result in the rejection of your creation file, or ex-post litigation before the courts.

If you decide tooutsource the creation of your SASU to a professional, you'll need to factor in these additional costs. The fees charged by a lawyer, notary or chartered accountant generally range from €800 to €2,000 excluding tax, depending on the firm.

Don't hesitate to ask for a quotation so that you can take advantage of the competition.

When you set up your SASU, you need to publish a notice of incorporation in an approved legal gazette.

Once again, you can do it yourself or entrust the job to a professional, who will invoice you later.

A single advertisement for a SASU generally costs between €100 and €200 excluding tax. This price may vary according to the length of the ad and the scope of the newspaper chosen.

If the value of all in-kind contributions exceeds half of the share capital, or if any of them exceeds €30,000, it is compulsory to appoint a commissaire aux apports . This person is responsible for assessing the value of in-kind contributions made by the sole shareholder when creating a SASU.

SASU registration

The cost of registering your SASU depends on the sector in which it operates.

If you run a commercial business, registration with the Registre du Commerce et des Sociétés (RCS) costs €39.42.

For a craft business, registration with the Répertoire des Métiers (RM) costs around €130. The declaration of beneficial owners costs a further €25.

For craft companies, it is possible to take an installation preparation course. This is useful for new business owners who want to learn about the conditions under which they can operate, the various financing options available, and the basic principles of business management.

This is charged at €194. Since the vote of the PACTE law on May 24, 2019, it is no longer mandatory (but highly recommended) to obtain a registration.

Share capital contribution and related start-up costs

The minimum share capital required to open a SASU is €1. However, it is sometimes advisable to set up a larger share capital to make your project more credible in the eyes of your financial and commercial partners. This capital must be deposited with your bank, and blocked for the duration of the SASU registration procedure.

This is not really a cost, as the share capital can be recovered when the SASU is dissolved. However, in the event of bankruptcy, it can be used to recover debts incurred.

Last but not least, it is essential to pay the fees of the commercial court clerk's office. For the creation of a SASU, these are €41.50.

The total cost of a SASU is therefore relatively variable, and depends on a number of parameters.

The legal and administrative support you receive can considerably vary the total cost of creation.
