Just as a person can change their place of residence during their lifetime, a company can also change the address of its registered office. This is the first thing you need to know when setting up your company.

The address at which your EURL is domiciled helps determine its nationality, country of taxation and jurisdiction in the event of a dispute. An EURL (entreprise unipersonnelle à responsabilité limitée) is a limited liability company with a single shareholder. Suitable for entrepreneurs wishing to launch a project on their own, this status offers considerable day-to-day flexibility and streamlined administrative formalities.

Would you like to change the address of your EURL's registered office?

Let's find out all the administrative formalities you need to complete, and how much they cost!

Publication of a legal notice in an approved newspaper

The formalities to be completed at this stage depend on the address of the new registered office. If the new head office is located in the same département as the previous one, a single transfer notice must be published in a legal gazette in the département concerned. This notice must include the following information

  • The transfer of the registered office must be explicitly mentioned.
  • Address of new registered office, legal legal status and company name
  • RCS identification number and city of registration
  • Indication of the RCS (Trade and Companies Register) where the company will be registered after the transfer.

If the transfer takes place in another département, two transfer notices are absolutely necessary. The first must be published in the legal gazette of the département of origin, and the second in that of the département of destination. In this case, additional information is required:

  • Its RCS identification number and the city of registration corresponding to the old and new head offices
  • The identity of the persons empowered to bind the company to third parties. In the case of a EURL, this is usually the sole shareholder.

The cost of this procedure varies from department to department. It is calculated on the basis of ministerial decrees. On average, you should expect to pay €158 to publish your change of registered office notice!

Payment of fees to the commercial court clerk's office

You must then complete the CERFA M2 form with the authorities. Don't forget to clearly state that you are transferring your registered office in the first box. In box 12, tick the "closed" box for your former registered office.

The minutes, updated articles of association, transfer notice and M2 form (in triplicate) must then be filed with the clerk of the commercial court corresponding to the company's new registered office.

Proof of occupancy of the new premises is also required.

Registry fees vary according to the new address of your registered office:

  • Would you like to register your EIRL in the same département? Filing fees at the Clerk's Office of the Commercial Court are €95.95 incl. VAT.
  • Would you like to transfer your registered office address to another département? The filing fee with the Clerk of the Commercial Court is €135.04 inc.
